01Acceptance of these terms
These Terms and Conditions (“Terms”) form a binding agreement between you and Numbers Calculus (“we”, “us” or “our”). By creating an account or using our website, applications or services (together, the “Services”), you confirm that you have read, understood and agreed to these Terms.
If you use the Services on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these Terms.
02The Services
Numbers Calculus provides cloud-based accounting software, including invoicing, bank feed matching, reporting and tax deadline tools. We may add, change or remove features over time. Where a change materially reduces the core functionality you have paid for, we will give you reasonable notice.
03Accounts and security
You must provide accurate information when you register and keep it up to date. You are responsible for keeping your credentials confidential and for all activity that happens under your account.
- You must be at least 18 years old and able to enter into a binding contract.
- You must tell us promptly if you suspect unauthorised access to your account.
- You are responsible for the actions of any team members or accountants you invite and for the permissions you give them.
04Subscriptions, billing and free trials
Some features require a paid subscription. Prices and plan details are shown on our pricing page and are charged in advance on a recurring basis (monthly or annually, depending on the plan you choose) until you cancel.
- Free trials, where offered, last for the period stated at sign-up. Unless you cancel before the trial ends, your chosen plan may begin and be charged.
- You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- Except where required by law or stated otherwise, fees already paid are non-refundable.
- We may change our prices with advance notice. Changes apply from your next billing period.
- Taxes may be added to the fees where applicable.
05Acceptable use
You agree not to:
- Use the Services for anything unlawful, fraudulent or misleading, including money laundering or tax evasion.
- Attempt to access accounts, systems or data that do not belong to you.
- Interfere with or disrupt the security, integrity or performance of the Services.
- Reverse engineer, copy or resell the Services except as permitted by law or by us in writing.
- Upload malware or content that infringes the rights of others.
- Use automated tools to scrape or overload the Services.
06Your data and content
You keep ownership of the accounting data and other content you add to the Services (“Your Data”). You give us a limited licence to host, process and display Your Data solely to provide and improve the Services for you.
You are responsible for the accuracy and legality of Your Data and for keeping your own records as required by law. Our handling of personal information is described in our Privacy Policy. You can export Your Data at any time, and after you close your account we will delete it in line with our retention practices.
07Our intellectual property
The Services, including the software, design, text, logos and trademarks, belong to us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes while these Terms are in effect.
If you send us feedback or suggestions, we may use them without obligation to you.
08Third-party services
The Services may connect to third-party products such as banks, payment providers and sign-in services. Those services are governed by their own terms and privacy policies, and we are not responsible for their availability or conduct.
09No accounting or legal advice
The Services are tools that help you organise and report financial information. They do not provide accounting, tax or legal advice. You remain responsible for your filings, decisions and compliance, and we recommend consulting a qualified professional where appropriate.
10Availability and support
We aim to keep the Services available and secure, but we do not guarantee uninterrupted or error-free operation. We may suspend the Services for maintenance, security or other operational reasons and will try to give notice where practical. Support is provided according to your plan.
11Suspension and termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Services in a way that creates risk or legal exposure for us or others.
On termination, your right to use the Services ends. Sections that by their nature should survive, including those on intellectual property, disclaimers, liability and governing law, will continue to apply.
12Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
13Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill arising from your use of the Services.
Our total liability for any claim relating to the Services will not exceed the amount you paid us in the twelve months before the event that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
14Governing law and disputes
These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law rules. Any dispute will be brought in the courts of [Your Jurisdiction], unless the law where you live gives you the right to bring a claim elsewhere. We encourage you to contact us first so we can try to resolve the issue informally.
15Changes to these terms
We may update these Terms from time to time. If we make material changes, we will update the date at the top of this page and notify you by email or within the product before they take effect. If you continue to use the Services after the changes apply, you accept the updated Terms.
